CSGA SeedCert Terms of Use

These SeedCert Terms of Use are the terms and conditions applicable to your use of CSGA’s SeedCert platform, as defined below. These terms are in addition to and supplement CSGA’s Privacy Policy and the Terms and Conditions specified on the CSGA’s Application for Membership and Application for Seed Crop Certification forms. It is important that you read and understand these SeedCert Terms of Use and all related documents before using SeedCert. 

  • SeedCert is made available for your internal business purposes only and not for any commercial or derivative use.  
  • SeedCert is not intended to provide users with specific agronomy, agrology, financial, tax or accounting advice and should not be relied upon for that purpose.  
  • The information and content available within SeedCert is not intended to be comprehensive, may be incomplete, and may not include the most up-to-date information.  
  • You are responsible for all information entered or amended by you and all your choices on how the information is used and displayed within SeedCert.  
  • CSGA may use information relating to your use of SeedCert to create aggregate, non-personalized or de-identified information, and such aggregated and de-identified data may be used by CSGA for any lawful purpose and CSGA’s Ag Data Policy. CSGA may disclose aggregated data to others and may retain it for future use.  
  • CSGA’s Privacy Policy sets out the principles and procedures that CSGA follows to meet its privacy commitments. To deliver on its regulatory mandate, CSGA shares information with the Canadian Food Inspection Agency and with its provincial Branches. We will never share your personal information or non-aggregated data identifiable to you with other parties without your consent. 
  • The terms of CSGA’s Privacy Policy, Security Policy and Ag Data Use Policy also apply to your use of SeedCert, and you should review these policies prior to using SeedCert. 

1. INTRODUCTION

SeedCert is a web-based application made available by the Canadian Seed Growers’ Association (“CSGA”) and designed to assist users in seed crop certification. SeedCert is currently comprised of a seed crop certification module, a seed crop inspection module, and an oversight module and may contain additional functionality as determined by CSGA from time to time. You understand that we may add, remove, or change any part or feature of SeedCert at any time without giving you notice.  

These CSGA SeedCert Terms of Use (“Terms of Use”) govern your access to and use of SeedCert.  

Please read these Terms of Use carefully. They are a legal agreement between you and CSGA. By using SeedCert or clicking the acceptance button, you agree to be bound by these Terms of Use, including all amendments made from time to time. For further clarification, if an amendment is material, CSGA will make reasonable efforts to provide notice prior to any new terms taking effect and provide you with a summary of the applicable amendments. By continuing to access or use SeedCert after any amendments take effect, you agree to be bound by the revised Terms of Use. If you do not agree to these Terms of Use, do not use the SeedCert platform and contact the CSGA office immediately. 

2. USE OF SEEDCERT 

You may use SeedCert for your internal business purposes only. You may not use SeedCert for any other purpose except as expressly authorized by CSGA. You are not permitted to make any commercial or derivative use of SeedCert or to use any data mining, robots, or similar gathering and extraction methods with respect to SeedCert or any content contained therein. 

3. PROXY USE 

You may authorize third parties (“Authorized Third Party”) to access your seed crop production information in SeedCert through their own SeedCert account. Authorization is provided annually through the CSGA Application for Membership and CSGA Seed Crop Certification forms. 

You are responsible for all actions taken by your Authorized Third Party and understand your Authorized Third Party will have access to seed crop production data presented in SeedCert, which may contain confidential business. You are responsible for managing access by your Authorized Third Party to your information. You may contact CSGA to revoke any Authorized Third Party access to your SeedCert. 

4. ACCOUNT INFORMATION, USER IDS, AND PASSWORDS 

While you are entitled to authorize an Authorized Third Party to access and submit SeedCert information on your behalf, you are prohibited from sharing your account information, including account passwords, with any other individual or entity. Further, you are entirely responsible for all usage or activity on SeedCert by users using your ID or password, including but not limited to the use of your password by any third party. CSGA will not be responsible for any unauthorized use of your user ID or password. 

5. PRIVACY AND CONFIDENTIALITY 

By agreeing to these Terms of Use, you are also agreeing to CSGA’s Privacy Policy. The Privacy Policy should be reviewed prior to accessing and using SeedCert, as it contains authorizations and consents for CSGA’s use and protection of your personal information and information relating to your electronic device(s) used to access SeedCert.  

You also agree that CSGA may intervene in your use of SeedCert and may disclose any information necessary to satisfy any law, regulation or other governmental or court request, operate SeedCert properly, or protect itself or other users of SeedCert. Any such disclosure shall be in accordance with CSGA’s Privacy Policy or Ag Data Policy.  

When you notify us of a problem, we may need to access or use your personal information to diagnose and fix any issues preventing you from using SeedCert. CSGA staff will do this, but they will only access what is necessary to complete the requested support services. 

6. ENTERING INFORMATION INTO SEEDCERT 

SeedCert allows you to enter your own regulatory data and voluntary data (your “Ag Data”) and is highly customizable to allow you to manage your seed certification information. You are responsible for all your Ag Data entered or amended by you and all your choices on how the information is displayed within the application. CSGA does not verify, check or monitor voluntary data or how you are using or displaying the voluntary data. 

7. DATA AGGREGATION AND USE BY CSGA 

CSGA’s Ag Data Policy forms a part of these SeedCert Terms of Use and outlines CSGA’s guiding principles and protections for your Ag Data. You should review the Ag Data Use Policy prior to using SeedCert.  

CSGA may aggregate Ag Data entered into SeedCert for the purposes and uses outlined in the Ag Data Use Policy. The Ag Data you enter into SeedCert will be de-identified and aggregated by CSGA into an aggregated data set (the “Aggregated Data”) in such a manner as to prevent any identification of individuals or operations. You do not have any ownership rights in the Aggregated Data, and CSGA will be able to use it for any lawful purpose.  

CSGA may provide users the ability to revoke their consent to CSGA for voluntary data for aggregation of data. 

8. SECURITY 

By agreeing to these SeedCert Terms of Use, you also agree to CSGA’s Security Policy regarding any computer or mobile device that may be used to access SeedCert. The Security Policy should be reviewed prior to accessing and using SeedCert. 

9. TERMINATION OF ACCESS TO SEEDCERT 

CSGA may terminate or suspend your access to all or any parts of SeedCert at any time, at its sole discretion and with or without notice, for any reason, including, without limitation, a breach of these SeedCert Terms of Use. Without limiting the generality of the foregoing, any fraudulent, abusive, or otherwise illegal activity, or activity that may be otherwise affect the engagement of SeedCert or access to SeedCert by others, may be grounds for termination of your access to all or part of SeedCert at the sole discretion of CSGA.  

Termination of your SeedCert access includes deletion of your SeedCert password. It may include, upon request, the deletion of voluntary data and files associated with or inside your account or user profile within a reasonable time following the termination provided. However, CSGA may retain information if necessary to comply with CSGA’s legal obligations, including resolving disputes and enforcing agreements, and may also retain Aggregated Data. Prior to termination, you may export and remove your voluntary data from SeedCert at any time. 

10. INTELLECTUAL PROPERTY RIGHTS 

All rights not expressly granted in these SeedCert Terms of Use and all related documents incorporated herein are reserved to CSGA. Nothing contained in these SeedCert Terms of Use shall be construed as conferring by implication, estoppel or otherwise any license or right under any copyright, patent, trademark or other intellectual right of CSGA or any other person or entity. 

Certain materials or information available to you through SeedCert or through links to third party websites may be subject to third party intellectual property rights. All such intellectual property rights are and shall remain the property of their respective owners or creators. You acknowledge and agree that CSGA is not responsible for the accuracy, completeness or content provided by or on behalf of third parties. 

11. REPRESENTATION AND WARRANTIES 

CSGA makes no representations, warranties or covenants to any person or entity with respect to SeedCert. CSGA does not give any warranties, guarantees, representations or conditions, whether express, implied, statutory or otherwise (including, without limitation, any warranty as to the accuracy, completeness, currency, or suitability of the information delivered as part of SeedCert, third party information, materials or website content, fitness for a particular purpose, compliance with any description, or non-infringement of third party rights) with respect to SeedCert and all such warranties are hereby disclaimed to the maximum extent permitted by applicable law. 

CSGA does not guarantee that SeedCert will be provided or available without interruption or error-free, that defects in SeedCert will be corrected, or that SeedCert will be free from viruses or harmful components. SeedCert is delivered through third-party network service providers, and you understand that there may be service disruptions or outages. 

SeedCert is provided on an ‘as is’ basis without representations, warranties or conditions of any kind. You agree that your use of SeedCert is at your sole risk. You agree that CSGA assumes no liability if SeedCert is unavailable at any time or for the reliability, validity, accuracy, completeness, integrity, quality or timeliness of, or any failure to deliver or store, SeedCert or any information or other content.
